CHILL SUBS AFFILIATE PROGRAM TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

These Affiliate Program Terms of Service ("Terms") constitute a legal agreement between you ("Affiliate," "you," or "your") and Chill Subs, LLC, a Massachusetts limited liability company ("Chill Subs," "Company," "we," "us," or "our"). By applying to, accessing, or participating in the Chill Subs Affiliate Program (the "Program"), you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. PROGRAM OVERVIEW

The Chill Subs Affiliate Program allows approved affiliates to earn commissions by referring new customers to Chill Subs' subscription services, literary magazine database, educational content, workshops, tools, and other services (collectively, the "Services").

3. ENROLLMENT AND APPROVAL

3.1 Application

To participate in the Program, you must submit a complete and accurate application through our Rewardful platform. We reserve the right to accept or reject any application at our sole discretion.

3.2 Eligibility Requirements

To be eligible for the Program, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal authority to enter into this agreement
• Comply with all applicable laws and regulations

3.3 Account Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials.

4. AFFILIATE RESPONSIBILITIES AND CONDUCT

4.1 Permitted Promotional Activities

You may promote Chill Subs through:

• Honest and accurate descriptions of our Services
• Your own original content, including blog posts, reviews, and social media posts
• Email marketing to your own opt-in subscriber lists
• Paid advertising (subject to Section 4.3)

4.2 Prohibited Activities

You may NOT:

• Make false, misleading, or exaggerated claims about Chill Subs or our Services
• Use spam or unsolicited commercial email
• Engage in cookie stuffing or other fraudulent tracking methods
• Bid on Chill Subs' trademarked terms or variations thereof in paid search campaigns
• Use pop-ups, pop-unders, or other deceptive advertising methods
• Misrepresent your relationship with Chill Subs or claim to be acting on our behalf
• Create fake accounts or self-refer to earn commissions
• Use automatic redirects or URL shorteners that hide the destination
• Promote Chill Subs on websites containing illegal, adult, discriminatory, or offensive content
• Violate any applicable laws, including but not limited to FTC disclosure requirements
• Disparage Chill Subs, our Services, competitors, or the literary community

4.3 Paid Advertising Guidelines

If using paid advertising (Google Ads, Facebook Ads, etc.):

• You must comply with the advertising platform's terms of service
• You may NOT bid on "Chill Subs" or direct variations of our brand name
• Landing pages must clearly disclose your affiliate relationship
• You are solely responsible for all advertising costs

4.4 FTC Compliance and Disclosures

You must comply with the Federal Trade Commission's guidelines concerning endorsements and testimonials. You must clearly and conspicuously disclose your affiliate relationship with Chill Subs on any platform where you promote our Services.

4.5 Intellectual Property

You may use Chill Subs' name, logos, and marketing materials solely for the purpose of promoting our Services through the Program. You must:

• Use only approved marketing materials provided by us
• Not modify our trademarks, logos, or branding without written permission
• Not register domain names, social media handles, or other identifiers containing "Chill Subs" or confusingly similar variations

5. COMMISSION STRUCTURE AND PAYMENTS

5.1 Commission Rates

Commission rates will be specified in your Rewardful dashboard and may vary based on:

• The type of subscription plan purchased
• Promotional periods or special offers
• Your affiliate tier or performance level

Current standard commission rates will be communicated to you upon approval and may be updated with reasonable notice.

5.2 Commission Eligibility

Commissions are earned when:

• A referred customer completes a qualifying purchase through your unique affiliate link
• The customer's payment is successfully processed
• The transaction is not subsequently refunded, disputed, or charged back
• The referral complies with these Terms

5.3 Cookie Duration

Our affiliate tracking cookie has a duration of 60 days unless otherwise specified. This means you will receive credit for qualifying purchases made within 60 days of a customer clicking your affiliate link.

5.4 Payment Terms

• Payments are issued via paypal
• You are responsible for any fees associated with receiving payments
• You are responsible for all applicable taxes on your earnings

5.5 Withholding and Tax Reporting

We may be required to withhold taxes or issue tax forms (such as Form 1099) depending on your location and earnings. You agree to provide any requested tax documentation.

6. REFUNDS, CHARGEBACKS, AND COMMISSION ADJUSTMENTS

6.1 Refunds

If a customer requests and receives a refund for any reason, any commission earned on that transaction will be reversed.

6.2 Chargebacks and Fraud

Commissions on fraudulent transactions, chargebacks, or disputed charges will be reversed. We reserve the right to withhold payment or reclaim commissions if we suspect fraudulent activity.

6.3 Commission Adjustments

We reserve the right to adjust, withhold, or reclaim commissions if:

• The referral violates these Terms
• The transaction is determined to be fraudulent
• The customer cancels within a specified period
• There is evidence of gaming the system or abuse

7. TERM AND TERMINATION

7.1 Term

These Terms become effective upon your acceptance and continue until terminated by either party.

7.2 Termination by You

You may terminate your participation in the Program at any time by providing written notice to shelby@chillsubs.com. .

7.3 Termination by Chill Subs

We may suspend or terminate your participation in the Program immediately, with or without notice, if:

• You breach any provision of these Terms
• You engage in fraudulent or unethical conduct
• Your promotional methods damage our brand or reputation
• We discontinue the Program
• Required by law or legal process

7.4 Effect of Termination

Upon termination:

• Your access to the Program will be revoked
• You must immediately cease all promotional activities
• You must remove all Chill Subs marketing materials from your platforms
• Unpaid commissions will be issued
• We may reclaim any commissions earned through violations of these Terms

8. CONFIDENTIAL INFORMATION

You may receive access to confidential information about Chill Subs, including but not limited to business strategy. You agree to:

• Keep all confidential information strictly confidential
• Not disclose such information to any third party
• Use confidential information solely for the purpose of participating in the Program
• Return or destroy all confidential information upon termination

9. RELATIONSHIP OF THE PARTIES

9.1 Independent Contractor

You are an independent contractor and not an employee, agent, partner, or joint venturer of Chill Subs. You have no authority to bind Chill Subs or make commitments on our behalf.

9.2 No Exclusivity

This agreement is non-exclusive. You may participate in other affiliate programs and promote competing services.

9.3 Your Responsibilities

As an independent contractor, you are solely responsible for:

• All expenses incurred in your promotional activities
• Compliance with all applicable laws and regulations
• Payment of all applicable taxes
• Your own liability insurance, if applicable

10. WARRANTIES AND DISCLAIMERS

10.1 Your Warranties

You warrant that:

• You have the right and authority to enter into this agreement
• Your promotional activities will comply with all applicable laws
• Your websites and promotional materials do not infringe on any third-party rights
• All information you provide is accurate and complete

10.2 Disclaimer of Warranties

The program is provided "as is" and "as available" without warranties of any kind, either express or implied. chill subs disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10.3 No Guarantee of Earnings

We make no guarantees regarding your earnings through the program. Your success depends on your own efforts, methods, and market conditions.

11. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

11.1 Exclusion of Damages

Chill subs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your participation in the program.

11.2 Cap on Liability

Chill Subs' total liability to you for any claims arising out of or related to the program shall not exceed the total commissions paid to you in the six (6) months preceding the claim.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Chill Subs, its members, managers, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your promotional activities
• Your breach of any representation or warranty
• Your violation of any applicable law or regulation
• Any claim that your content infringes third-party rights

13. MODIFICATIONS TO TERMS

13.1 Right to Modify

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on our website
• Sending notification to your registered email address
• Providing notice through your Rewardful dashboard

13.2 Acceptance of Modifications

Continued participation in the Program after notice of changes constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must terminate your participation.

13.3 Program Changes

We reserve the right to modify or discontinue the Program, commission structures, or any aspect of the Program at any time with reasonable notice.

14. GOVERNING LAW AND DISPUTE RESOLUTION

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions.

14.2 Jurisdiction and Venue

You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Massachusetts, and you consent to the personal jurisdiction of such courts.

14.3 Informal Dispute Resolution

Before initiating formal legal proceedings, you agree to first contact us at shelby@chillsubs.com to attempt to resolve the dispute informally.

15. GENERAL PROVISIONS

15.1 Entire Agreement

These Terms, together with any other agreements referenced herein, constitute the entire agreement between you and Chill Subs regarding the Program and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights and obligations hereunder without our prior written consent. We may assign these Terms without restriction.

15.5 Notices

All notices under these Terms shall be in writing and delivered to:

15.6 Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control.

15.7 Survival

Sections that by their nature should survive termination shall survive, including but not limited to Sections 8 (Confidential Information), 10 (Warranties and Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), and 14 (Governing Law and Dispute Resolution).
